ORDERS
Orders issued by the buyer shall be confirmed in writing by WSA OFFICE PROJECT AG. Subsequent modifications to the order by the buyer can only be made with the written agreement of WSA OFFICE PROJECT AG. Prices and delivery date may change as a result of modifications made by the buyer.

SCOPE OF SERVICES
Provided no other contract agreement has been made, an office furniture order issued to WSA OFFICE PROJECT AG comprises the following services: one-time delivery, unloading and assembly of the office furniture as well as disposal of packaging.

DELIVERIES
The buyer is responsible for ensuring that appropriate conditions exist for enabling delivery and assembly to take place efficiently. This means at the minimum that vehicle access is free and reserved, lifts and entranceways can be used and the assembly space is free of other objects.

INVOICING OF ADDITIONAL SERVICES
In the event of any obstruction or failure by the customer to comply with the responsibilities mentioned above,
WSA OFFICE PROJECT AG reserves the right to charge CHF 104.00 (office furnishing), CHF 112.00 (partition systems)
CHF 106.00 (interior fitting products) per additional working hour for each of its personnel present.

DEFAULT OF ACCEPTANCE
Should acceptance of the delivery be refused or prevented by the buyer on the agreed delivery date, WSA OFFICE PROJECT AG reserves the right to invoice the customer with a monthly charge of at least 1% of the invoice amount.

STORAGE OF MATERIAL AT WSA
If the storage of goods is necessary, this will be invoiced at a rate of CHF 18.00 per m³ per month. The costs for storage and subsequent delivery will be charged individually, according to the effective expenditure (at least CHF 170.00).

STORAGE OF MATERIAL AT THE MANUFACTURER
If the goods can be stored by the manufacturer, the corresponding costs will be charged to the customer.

COMPLAINTS
The buyer is required to examine the delivered goods and record any defects or complaints on the delivery note. Subsequent complaints will not be taken into account.

GUARANTEES
PRODUCT GUARANTEE
WSA OFFICE PROJECT AG guarantees the delivery of products in perfect condition. Any defects must be recorded once assembly is complete and shall be rectified free of charge. The product guarantee is valid for 24 months following assembly and covers all material defects. Defects attributableto inappropriate and negligent use or operation are not covered.

PAYMENTS
Invoice amounts must be paid within 30 days to WSA OFFICE PROJECT AG provided no other written agreement has been made. Should WSA OFFICE PROJECT AG become aware of any circumstances that call into question the creditworthiness or solvency of the buyer, we reserve the right to withdraw from an agreement or to request an immediate down payment of the invoice amount or the advance payment of the entire invoice amount.

RESERVATION OF PROPRIETARY RIGHTS
All goods delivered by WSA OFFICE PROJECT AG shall remain the property of WSA OFFICE PROJECT AG until complete payment has been made.

AMENDMENTS
WSA OFFICE PROJECT AG reserves the right to amend its General Terms and Conditions at any time.

PLACE OF PERFORMANCE AND PLACE OF JURISDICTION
The place of performance for all contractual services is Dietlikon (Switzerland). The place of jurisdiction is Bülach. All legal relationships between the parties are subject to Swiss law.
